NON DISCLOSURE AGREEMENT

AUTHOR has developed and will be sending to DEAFWORKS the following INFORMATION for DEAFWORKS's preliminary evaluation:

DEAFWORKS agrees to the following:

Acknowledgment of Confidentiality . DEAFWORKS acknowledges that they may be exposed to confidential and proprietary information of AUTHOR.

Confidential Information does not include (i) information already known by DEAFWORKS, (ii) information in the public domain through no wrongful act of DEAFWORKS, or (iii) information received by DEAFWORKS from a third party who was free to disclose it.

Convenant Not to Disclose. DEAFWORKS agrees not to use, commercialize, or disclose any Confidential Information to any person or entity except as AUTHOR approves. AUTHOR acknowledges that DEAFWORKS may share some of the information with third parties for the purposes of enginnering design and pricing but only if DEAFWORKS has on file a signed non-disclosure agreement from the third party specifically regarding this project. DEAFWORKS agrees to use at least the same degree of care in safeguarding the Confidential Information as they use in safeguarding their own confidential information.

Retention of Rights. AUTHOR retains all rights to the material sent. DEAFWORKS agrees to return all materials upon AUTHOR's request.
